How Does the Minnesota Incorporation Process Work?

First, you may schedule your Minnesota Incorporation Legal Consultation with a Minnesota incorporation attorney by completing the online form.

Second, once we receive your inquiry, we will call you to schedule the consultation with a Minnesota incorporation attorney.

Third, after the consultation, you can decide whether to incorporate in Minnesota.

How Much Will it Cost to Incorporate in Minnesota?

If you decide to hire Trepanier MacGillis Battina P.A. law firm to incorporate you in Minnesota, we will help you incorporate for a FLAT FEE (including applicable Minnesota Secretary of State corporate filing fees).

We will quote the FLAT FEE during the initial attorney phone consultation (or shortly thereafter) after taking into consideration the complexity of your situation, the number of owners, and your desired turnaround time for incorporating in Minnesota.

How Quickly Can I Incorporate in Minnesota?

The process of incorporating in Minnesota is relatively fast.  Typically, however, additional decisions need to be made following the initial consultation; drafts need to be circulated; and the attorney will need to consult with you throughout the process.

If time is of the essence, often you can be incorporated in Minnesota on the SAME DAY or WITHIN 24 HOURS in most situations after submitting the completed Minnesota Incorporation Checklist.

What Services Are Included in the Minnesota Incorporation Flat Fee?

The steps for incorporating in Minnesota vary slightly depending on what type of legal entity is chosen.

The two most common types of entities for a small business are "S-Corporation" and "Limited Liability Company" (LLC).  In either case, for the flat fee, our Minnesota incorporation attorneys will:

  1. Consult with you and decide what type of legal entity to create;
  2. Prepare Articles of Incorporation/Organization;
  3. File the Articles with the Minnesota Secretary of State;
  4. Prepare Minutes of Action of the Incorporator resigning and appointing the board;
  5. Prepare Bylaws/Operating Agreement for the new Minnesota entity;
  6. Prepare Member Control Agreement (for LLC only);
  7. Prepare First Set of Minutes and designate officers/managers and directors/governors;
  8. Prepare Subscription Agreement(s) for all owners who will be receiving shares/membership units;
  9. Prepare a Stock Ledger/Unit Membership Ledger for all shares/units issued;
  10. Prepare Share Certificates/Unit Membership Interest Certificates;
  11. Obtain your Federal Tax ID Number;
  12. Obtain your Minnesota State Tax ID Number;
  13. Assemble your Corporate Minute Book; and
  14. Send you a Letter to New Corporation explaining important concepts of corporate law.

Additional documents, such as Minnesota Buy-Sell Agreement, Minnesota Shareholder Employment Agreement, or Minnesota Non-Compete Agreement can be prepared for an additional fee.

Why Not Incorporate in Minnesota With an Online Incorporation Service?

Clients often ask, "Why shouldn't I incorporate in Minnesota with an online service that is less expensive?"

The simple answer is . . . a computer program cannot practice law.  If you actually want an attorney who is licensed to practice law in the State of Minnesota to give you skillful legal advice, pick the legal entity that is right for you, and prepare your legal documents, then we are here to help.  We charge fair prices for the work we do and stand behind the quality of our work.

If your primary goal is speed and cost, however, then an online service may be right for you.  Not all online incorporation services are bad; if money is tight, it might make sense.
